Engagement with Shareholders and Investors

In order to meet the trust and expectations of shareholders and investors, Hitachi Cable continues to strengthen communication. To shareholders, we aggressively disclose important corporate information to secure trust and form fair share prices while to investors, promoting corporate public relations and making efforts to establish attractive shares. Toward the future, in order to deepen an understanding of our company, we will disclose information by taking advantage of various media and events

 

Principle of disclosure

Hitachi Cable declares that it completely takes fair and transparent action and sets corporate management through high levels of trust with customers, shareholders, investors, society and other stakeholders as the basis of management.
In relation to the disclosure of important information on Hitachi Cable and its Group companies, we established a policy to comprehensively grasp and manage important information to be disclosed, and promptly disclose information while maintaining its appropriateness and accuracy, following the action policy and in compliance with laws, regulations, stock exchange rules and internal rules on information management and disclosure.

 

Shares and shareholders situation

 

As of March 31, 2009, the number of shares issued and outstanding was 374,018,174 shares, with the number of shareholders being 21,851 persons. Looking at the composition of shareholders, it is comprised of domestic financial institutions (about 16%), individual investors (about 17%), overseas investors (about 11%) and domestic corporations including Hitachi, Ltd. (about 53%) plus the company's own shares (about 3%).

 
 

Basic policy on profit sharing

Taking such factors as performance status, strengthening of the business composition and future business strategies into consideration, we properly conduct profit sharing.
With regard to dividends of surpluses, we redistribute profits based on stable dividend payments and in consideration of performance. We effectively use internal reserves to invest in prospective operations with high potential for growth in the future and to vitalize existing businesses while maintaining and strengthening a healthy financial standing. Furthermore, regarding the reacquisition of shares as an effective measure for the redistribution of profits to shareholders, we take action in consideration of share price trends and financial conditions. The annual dividend for FY2009 was 7.25 yen.

 

Communication with shareholders and investors

 

Hosting IR events

For securities analysts and institutional investors, we host a settlement explanation meeting on the day of settlement announcements every quarter in addition to management policy and business explanatory meetings as appropriate. For people who cannot attend said meetings, we provide audio broadcasts of explanatory meetings online. In addition, we also respond to individual news activities and hold various meetings and factory tours. In September 2008, we held an "Overseas Road Show" where management visited investors in the United States and directly explained our management policies.

Providing shareholders and investors with information

We send "Hitachi Cable News" to shareholders at the end of the second quarter and the end of the fiscal year, paying close attention to inform them of our performance and a business overview for each period. As a means of disclosing information to shareholders and investors in a prompt and fair manner, we make maximum advantage of the Internet. To provide individual investors with information equivalent to that offered to institutional investors, the latest IR information, including news releases, financial results, explanatory documents used for various explanatory meetings, details of Q&A sessions and audio recordings* of explanatory meetings are available at our IR website. We have also established a website for individual investors, making efforts to make the content more complete. We also offer a service to send e-mail notices* of the latest information on our IR website.
For overseas investors, we issue annual reports, respond to news articles and in addition, issue information in English on the Internet, including summaries of explanatory meetings on business /financial results and news releases. As is the case with domestic investors, we have established a structure to properly deliver information relating to our company.

External appraisal in relation to IR
In order to realize fair and prompt information disclosure, Hitachi Cable continuously makes efforts to improve IR activities, including the utilization of its website. In FY2009, we received the following evaluations from external organizations in relation to our attitude toward IR activities and conditions of information disclosure.

 

Companies with Excellent Disclosure Selected by Securities Analysts

In "Companies with Excellent Disclosure Selected by Securities Analysts (2008)" hosted by the Disclosure Study Group of the Securities Analysts Association of Japan, Hitachi Cable was ranked number three in the steel/nonferrous metal industry (number one in the cable industry). The company was highly evaluated for such precise detail as completeness of explanations, materials, etc. at settlement explanation meetings, practice of fair disclosure, voluntary information disclosure through hosting factory tours and business explanation meetings, allowing us win the honor.

 

2008 All Listed Company Website Ranking

 

In the 2008 All Listed Company Website Ranking announced by Nikko Investor Relations Co., Ltd. (Nikko IR), Hitachi Cable was ranked 27th in the general ranking (from 3,920 listed companies) and number one in the nonferrous metal industry.

 

Award for Excellence in Internet Investor Relations

 

Hitachi Cable was selected as one of the "402 Companies with Excellence in International Investor Relations" announced by Daiwa Investor Relations Co., Ltd. (Daiwa IR) on May 2, 2008. Furthermore, for four consecutive years, Hitachi Cable was awarded with "580 Excellent Companies in International Investor Relations" announced by Daiwa IR on April 24, 2009.

 

Best Company Award in Internet Investor Relations (nonferrous metal industry)

 

On November 21, 2008, Daiwa Investor Relations Co., Ltd. announced its "Best Company Award in Internet Investor Relations (by Industry)" and selected Hitachi Cable as the best company in the nonferrous metal sector, which marks the honor for five consecutive years.

 

General Ranking of IR Websites

 

Hitachi Cable was selected as one of the 110 Excellent Companies in the "General Ranking of IR Websites in March 2008" announced by Gomez Consulting Co., Ltd. on April 1, 2008 as well as one of the 110 Excellent Companies in the "General Ranking of IR Websites in March 2009," marking two consecutive years winning this award.
